- RESOLVED that the Company shall open a corporate bank account with [Bank Name], and that the account shall be operated in accordance with the bank's standard mandate.
- RESOLVED FURTHER that [Authorised Signatory Name], [Designation], is hereby authorised, singly, to operate the said account and to execute all documents required in connection therewith.
- RESOLVED FURTHER that a certified copy of this resolution be furnished to the bank and to any other party requiring evidence of these resolutions.

Frequently asked questions
When does a UAE company need a board resolution?+
For opening a corporate bank account, appointing authorised signatories, approving major contracts, share transfers, POA issuance, borrowing, changing licence activity or authorising legal proceedings. Banks (Emirates NBD, Mashreq, ADCB, FAB) and free-zone authorities all request a board resolution as standard.
Who signs the board resolution?+
All directors present at the meeting, or all directors in a written resolution passed in lieu of a meeting. The chairperson typically signs first. Attesting notary or free-zone authority stamp is added where the counterparty requires it.
Does a board resolution need MOFA or notary attestation?+
For UAE bank account opening most banks accept a resolution on company letterhead with directors' signatures and company stamp. For court, DED, share transfer or use abroad, notarial attestation and Ministry of Foreign Affairs (MOFA) legalisation are usually required — followed by embassy attestation of the destination country.
How is a board resolution attested for use outside the UAE?+
Route: (1) sign and stamp on company letterhead; (2) notarise at a UAE notary public; (3) attest at the UAE Ministry of Foreign Affairs (MOFA); (4) attest at the destination-country embassy in the UAE; (5) attest at the destination country's foreign ministry. For GCC-to-GCC use, apostille-style attestation is not accepted — MOFA + embassy remains standard.
Ordinary vs special board resolution?+
Ordinary resolutions cover routine matters (bank accounts, signatories). Special resolutions cover material changes (share capital, MOA amendments, dissolution) and usually need a higher majority per the MOA / AOA.
