Memorandum of Understanding
This Memorandum of Understanding (the “Agreement”) is made and entered into on 13 Sept 2026 (the “Effective Date”), by and between:

WHEREAS the parties wish to record their mutual understanding regarding a proposed collaboration; and WHEREAS this Memorandum sets out the principal terms upon which the parties intend to negotiate a definitive agreement; NOW THEREFORE, the parties agree as follows.

- 1. Purpose
The parties intend to collaborate on [insert project / opportunity] on the broad terms described in this Memorandum, with a view to entering into definitive binding agreements in due course.
- 2. Responsibilities of the Parties
Each party shall use reasonable endeavours to perform the responsibilities allocated to it as described in Schedule A and to cooperate in good faith to achieve the Purpose.
- 3. Costs & Expenses
Unless otherwise agreed in writing, each party shall bear its own costs and expenses incurred in connection with this Memorandum and any negotiations contemplated by it.
- 4. Confidentiality
Each party shall keep confidential the existence and contents of this Memorandum and any information exchanged in connection with it, except as required by law or with the prior written consent of the other party.
- 5. Non-Binding
Except for the clauses on Confidentiality, Costs & Expenses, and Governing Law, this Memorandum is a statement of intent only and is not legally binding. No legal obligation shall arise between the parties until execution of definitive written agreements.
- 6. Term
This Memorandum shall remain in effect for a period of six (6) months from the Effective Date, unless extended or superseded by a definitive agreement.
Governing law & jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the courts of Dubai, UAE.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.

A memorandum of understanding is the document two businesses sign when they have agreed on the shape of a collaboration but not yet on its detail. It states the purpose, sets out what each side will contribute, confirms who pays which costs while the deal is being negotiated, protects the information the parties exchange, and — crucially — says plainly that nothing binds either side until the definitive contract is signed.
That last point is where most MoUs go wrong. A document titled "MoU" can still be enforceable if it reads like a contract, so this template carves out confidentiality, costs and governing law as the only binding clauses and leaves everything else as a statement of intent. Keep that clause unless you genuinely want the whole memorandum to bind you.

Frequently asked questions
What is a memorandum of understanding?+
An MoU records what two parties have agreed in principle before they sign a binding contract: the purpose of the collaboration, what each side will contribute, who pays which costs, and how long they have to turn it into a definitive agreement. It is the document you sign to show commitment while the detail is still being negotiated.
Is an MoU legally binding?+
Generally no — that is the point of it. In this template only the confidentiality, costs and governing-law clauses are intended to bind; the rest is a statement of intent, and no obligation arises until definitive agreements are executed. Keep that non-binding clause in unless you genuinely want the whole document enforceable.
What is the difference between an MoU and an LOI?+
In practice very little. A letter of intent is usually one party writing to another, while an MoU is drafted as a mutual document signed by both. Either way the effect depends on the wording — a document titled "MoU" can still be binding if it reads like a contract.
What should an MoU include?+
The parties, the purpose, each side's responsibilities, who bears which costs, confidentiality, a clear statement of whether it binds, a validity period, and governing law and courts. Money, deliverables and penalties normally wait for the definitive contract.
How long should an MoU last?+
Long enough to negotiate the real contract and no longer — three to six months is typical. This template defaults to six months from the effective date, and you can change that in the clause text.
Can an MoU be used in the UAE and the wider GCC?+
Yes. MoUs are standard practice for joint ventures, distribution talks, free-zone partnerships and government-related collaborations across the UAE, Saudi Arabia, Qatar, Oman, Kuwait and Bahrain. Set the governing law and the courts to the jurisdiction both sides accept.
What comes after the MoU?+
