Service Agreement

This Service Agreement (the “Agreement”) is made and entered into on 29 Jul 2026 (the “Effective Date”), by and between:

Recitals

WHEREAS the Service Provider is engaged in the business of providing professional services and possesses the necessary skills and expertise; and WHEREAS the Client wishes to engage the Service Provider to provide such services on the terms and conditions set out below; NOW THEREFORE, the parties agree as follows.

Terms & conditions

1. 1. Scope of Services

   The Service Provider shall provide the services described in Schedule A (the "Services") to the Client in a professional and workmanlike manner, in accordance with industry standards and applicable laws of the United Arab Emirates.

2. 2. Fees & Payment

   In consideration of the Services, the Client shall pay the Service Provider the fees set out in Schedule B, exclusive of 5% VAT where applicable. Invoices shall be settled within thirty (30) days of issue. Late payments shall bear interest at 1.5% per month.

3. 3. Term & Termination

   This Agreement shall commence on the Effective Date and continue until completion of the Services, unless terminated earlier. Either party may terminate this Agreement on thirty (30) days' written notice, or immediately for material breach not cured within fifteen (15) days.

4. 4. Intellectual Property

   All pre-existing intellectual property of each party shall remain its sole property. Deliverables created specifically for the Client under this Agreement shall vest in the Client upon full payment of all fees due.

5. 5. Confidentiality

   Each party shall keep confidential all non-public information received from the other party and use it only for the purposes of this Agreement. This obligation shall survive termination for three (3) years.

6. 6. Limitation of Liability

   Neither party shall be liable for indirect, incidental or consequential damages. The aggregate liability of either party under this Agreement shall not exceed the total fees paid in the twelve (12) months preceding the claim.

7. 7. Independent Contractor

   The Service Provider is an independent contractor and not an employee, agent or partner of the Client. Nothing in this Agreement shall create any employment or agency relationship between the parties.

Governing law & jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the courts of Dubai, UAE.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
