Agency Agreement
This Agency Agreement (the “Agreement”) is made and entered into on 13 Sept 2026 (the “Effective Date”), by and between:
Recitals
WHEREAS the Principal manufactures and/or supplies certain products and services (the "Products"); and WHEREAS the Principal wishes to appoint the Agent to promote and solicit orders for the Products in the Territory on the terms set out below; NOW THEREFORE, the parties agree as follows.
Terms & conditions
- 1. Appointment & Territory
The Principal hereby appoints the Agent as its [non-exclusive / exclusive] representative for the promotion and sale of the Products within the territory of [insert territory] (the "Territory"), and the Agent accepts such appointment on the terms of this Agreement.
- 2. Duties of the Agent
The Agent shall use reasonable endeavours to promote the Products in the Territory, refer all customer enquiries to the Principal, comply with the Principal's pricing and policies, and not enter into any contract on behalf of the Principal without prior written authority.
- 3. Commission
The Principal shall pay the Agent a commission of [insert %] on the net invoice value of all orders accepted from customers in the Territory and paid in full. Commission shall be settled within thirty (30) days of each calendar quarter-end.
- 4. Reporting
The Agent shall provide the Principal with monthly reports on sales activity, market conditions, competitor activity and customer feedback in the Territory.
- 5. Term & Termination
This Agreement shall commence on the Effective Date and continue for an initial term of one (1) year, renewing automatically for successive one (1) year periods unless either party gives ninety (90) days' written notice of non-renewal.
- 6. Confidentiality & Non-Compete
During the term and for twelve (12) months thereafter, the Agent shall not represent any products that directly compete with the Products in the Territory, and shall keep confidential all non-public information of the Principal.
- 7. Independent Contractor
The Agent is an independent contractor and not an employee, partner or joint venturer of the Principal. The Agent has no authority to bind the Principal except as expressly set out herein.
Governing law & jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the courts of Dubai, UAE.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.

An agency agreement is what you sign when you appoint someone to sell on your behalf rather than to buy from you. The agent promotes your products in an agreed territory, passes orders back to you, and earns commission on the business you accept and get paid for. Because the agent is out in the market using your name and your pricing, the document has to be precise about four things: how wide the territory is, whether the appointment is exclusive, exactly what commission is earned and when it becomes payable, and how either side can walk away.

What is an agency agreement?+
It is a contract in which one party (the principal) appoints another (the agent) to promote, market or solicit orders for its products or services in a defined territory, usually in return for commission. The agent introduces business; the principal keeps the contractual relationship with the customer unless the agreement says otherwise.
How is it different from a distribution agreement?+
A distributor buys the goods and resells them on its own account, taking the margin and the stock risk. An agent never takes title — it earns commission on orders the principal accepts. Use the distribution agreement maker instead if the other party is buying to resell.
Should the appointment be exclusive or non-exclusive?+
Non-exclusive lets you appoint several agents in the same territory and is the safer default for a first appointment. Exclusivity is a strong commitment — if you grant it, tie it to a minimum sales target and a clear right to terminate or convert to non-exclusive if the target is missed.
Does a UAE commercial agency have to be registered?+
Registered commercial agencies under the UAE Commercial Agencies Law are a separate, heavily protective regime with restrictions on who may be an agent and on termination. If you intend to register the agency with the Ministry of Economy, or the agent asks for registered status, take UAE legal advice before signing.
How should commission be defined?+
State the percentage, the base it applies to (usually net invoice value, excluding VAT, freight and duties), and when it becomes payable — most principals pay only on orders that have been fully paid by the customer, settled quarterly.
